Terms of Service

The terms that govern access to and use of the Arrival Point Software admin console, officer console, resident portal, and iOS app.

These Terms of Service ("Terms") govern access to and use of the software and services provided by Arrival Point Software ("Arrival Point," "we," "us," or "our"), including the admin console, officer/staff console, resident web portal, and native iOS application (together, the "Services"). Please read these Terms carefully.

1. Acceptance of terms

By creating an account, logging in, or otherwise accessing or using the Services, you agree to be bound by these Terms. If you are accessing the Services on behalf of a Community's management company, HOA board, or property management team (a "Customer"), you represent that you have the authority to bind that Customer to these Terms. If you do not agree to these Terms, do not access or use the Services.

If you are a resident, guest, officer, or staff member using the Services made available to you by a Customer, your use is also subject to any additional rules, policies, or agreements put in place by that Customer (for example, community rules or an employee handbook), which are separate from and in addition to these Terms.

2. Description of service

Arrival Point Software provides a gate, security, and resident management platform delivered through three primary access tiers:

  • Admin console. Used by property managers, HOA boards, and administrative staff to configure the Community, manage users and permissions, run reports, and administer every module of the Services.
  • Officer/staff console. Used by officers and patrol staff at the gatehouse and in the field for entry logging, guest and BOLO screening, alarm monitoring and dispatch, and patrol and house-check functions.
  • Resident portal. Used by residents, via the web or the native iOS app, for self-service functions such as managing guests, vehicles, and pets; submitting service requests; viewing payment and violation records; and receiving community announcements.

Features available to a given Community or user may vary based on the Customer's configuration, license tier, and the permissions granted to a particular role or individual.

3. Accounts and account responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate, current, and complete information when creating or updating your account, including contact information, vehicle and household information, and any other details requested by the Services;
  • Keep your login credentials secure and not share them with any other person, including other household members, officers, or staff;
  • Promptly notify us or your Community administrator if you suspect unauthorized use of your account or any other security breach; and
  • Use only the account and role assigned to you, and not attempt to access functionality or data reserved for another role (for example, a resident attempting to access officer-console functions).

We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

4. Acceptable use

You agree not to, and not to permit any third party to:

  • Access or attempt to access any part of the Services you are not authorized to use, or circumvent any access control, role-based permission, or authentication mechanism;
  • Scrape, crawl, harvest, or use automated means to extract data from the Services, or attempt to access the Services through any interface other than the ones we provide;
  • Create, share, or use guest passes, QuickPass links, or QR codes to admit individuals you do not have authorization to admit, or otherwise misuse the guest-pass system to circumvent Community security procedures;
  • Upload or submit false, misleading, or fraudulent information, including false vehicle, guest, or incident information;
  • Interfere with or disrupt the integrity or performance of the Services, including through malware, denial-of-service activity, or attempts to probe or test the vulnerability of the Services without our written authorization;
  • Use the Services to violate any applicable law, or to harass, threaten, or endanger any person; or
  • Reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent such restriction is prohibited by applicable law.

Violation of this section may result in suspension or termination of access, in addition to any other remedies available to us or the affected Customer.

5. Payment and assessment records

The Services include features that allow a Community to record dues, assessments, payments, and late fees, and to present residents with a running balance. These payment-recording features are provided as a convenience to help Communities and residents keep clear, organized records — they do not process live card, bank, or other electronic payment transactions. Any amounts shown as "paid" in the Services reflect information entered by the Community (or, where enabled, a resident) about a payment made through another channel, and Arrival Point is not a party to, and assumes no responsibility for, the underlying payment transaction itself. Communities and residents are responsible for the accuracy of payment records they enter into the Services.

6. Service availability

We aim to keep the Services available and performing reliably, and we use commercially reasonable efforts to do so, including for the gate, officer, and alarm-monitoring functions that are important to a Community's day-to-day security operations. However, we do not guarantee that the Services will be uninterrupted, error-free, or available at all times, and we make no specific uptime commitment or service-level guarantee unless separately agreed in a signed written agreement with a Customer. The Services may be temporarily unavailable for scheduled maintenance, updates, or due to circumstances outside our reasonable control. Communities should maintain appropriate manual backup procedures for critical, life-safety-related security functions.

7. Intellectual property

The Services, including all software, design, text, graphics, logos, and other content provided by Arrival Point (excluding data you or a Customer submit), are owned by Arrival Point Software or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose. You may not copy, modify, distribute, sell, or lease any part of the Services, or reverse engineer or attempt to extract the source code, except as permitted by law.

As between you (or your Community) and Arrival Point, information and content that you or your Community submit to the Services — such as resident, guest, vehicle, and incident records — remains owned by you or your Community. You grant us the right to host, process, and use that data as needed to provide the Services.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WHILE THE SERVICES ARE DESIGNED TO SUPPORT A COMMUNITY'S SECURITY AND VISITOR-MANAGEMENT OPERATIONS, THEY ARE A SOFTWARE TOOL AND DO NOT REPLACE SOUND SECURITY JUDGMENT, PROPERLY TRAINED PERSONNEL, OR A COMMUNITY'S OWN SECURITY POLICIES AND PROCEDURES.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARRIVAL POINT SOFTWARE AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOUR COMMUNITY TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, created a security risk, or if required to do so by your Community. A Customer may also request that we deactivate a specific user's access (for example, when a resident moves out or an officer's employment ends). Upon termination, your right to use the Services ends immediately, though certain records may be retained as described in our Privacy Policy, including the retention of gate entry and security logs for legal and security purposes.

11. Governing law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Florida, and you consent to personal jurisdiction in those courts.

12. Changes to these terms

We may update these Terms from time to time to reflect changes in the Services or our business practices. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide notice to affected Customers. Continued use of the Services after revised Terms take effect constitutes acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services.
